• Development – conditional contracts on planning, options, overage deeds, pre-emption agreements
• Dealing with post completion duties following conclusion of a transaction, including registration at HM Land Registry, Companies House and Stamp Duty Land Tax at HMRC.

EXPERIENCE

The team act for a large developer who has an ongoing portfolio of over 100 sites with Starbucks. Ryan acted on a site in Widnes exchanging on an acquisition of bare freehold land, conditional on planning permission for a drive thru development for three units, negotiating with Starbucks, and Wendy’s and achieving simultaneous exchange on the purchase and all three agreements for 15-year leases. 
 
The client will develop the site and then sell the investment either post development or on a forward sale basis.  The Widnes land purchase price was £1.5million, and annual rents for the units are £95k - £110k per annum, with an end development value of £7m. Ryan also advised on the appointment and construction warranties from the contractor and professional team. This case is a great example how Ryan can dovetail transactions to achieve simultaneous legal document exchanges with the seller and three tenants.

Ryan has acted for Yorkshire Cancer Research opening five new shops since joining Switalskis in April 2022.
